Evernorth Warrant Path Puts $132.2 Million on a Strike Gate

The SEC made Evernorth’s old SPAC warrants effective, a $132.2 million cash path that only fills if XRPN stays above $11.50.

The SEC declared Evernorth Holdings’ warrant prospectus effective on October 19, covering 11,499,992 shares at $11.50 each. If every public warrant is exercised for cash, the Nasdaq-listed XRP treasury firm could take in about $132.2 million.

That cash is optional. Holders still have to pay, the company spends any net proceeds at management’s discretion, and the filing does not order a token purchase.

What the October 19 Notice Allows

The document on EDGAR is a notice of effectiveness dated October 19 for file 333-294417, a post-effective amendment. It lets Evernorth issue Class A common stock when holders of public warrants, ticker XRPNW, exercise. It is not a commission order to buy XRP, and it is not a new at-the-market share sale.

Evernorth completed its merger with Armada Acquisition Corp. II on October 9 and began trading on the Nasdaq Global Market on October 12 as XRPN, with the warrants as XRPNW. Founder and chief executive Asheesh Birla, a former Ripple product and RippleNet lead, has described the listing as a regulated way to hold XRP exposure. The October 19 stamp is the mechanical follow-through on warrants that came with the old SPAC units.

WHAT WE KNOW

  • The stamp: The SEC marked the post-effective amendment effective on October 19 under file 333-294417.
  • The cap: Up to 11,499,992 Class A shares can be issued if public warrants are exercised at $11.50.
  • The cash rule: Evernorth receives money only from cash exercises, not from later sales of those shares.

WHAT IS UNCONFIRMED

  • Exercise volume: The filing does not say how many warrants will be exercised, or when.
  • The spend: Net proceeds are slated for general corporate purposes, with no XRP earmark.
  • New tokens: No purchase of additional XRP has been tied to this prospectus.

Headlines that treat the notice as a cleared shopping trip skip those gaps. The louder public reading has been that Washington just greenlit another $132.2 million of XRP bids. The paper on file is narrower than that.

$11.50 Stands Between Evernorth and $132.2 Million

Each public warrant buys one Class A share at $11.50. Full cash exercise of 11,499,992 warrants equals $132,249,908, which the prospectus rounds to approximately $132.2 million from warrant exercises. Evernorth says it expects to use any net proceeds for general corporate purposes.

On October 16, the last sale prices printed in the prospectus, XRPN changed hands at $15.45 and XRPNW at $4.16. That left each warrant $3.95 in the money, with about $0.21 of time value in the warrant price. Holders who exercise pay $11.50 and receive a share that was then trading $3.95 higher.

THE WARRANT CASH PATH

Item Figure
Public warrant shares 11,499,992
Exercise price $11.50
Gross proceeds if all cash $132.2 million
XRPN last sale, October 16 $15.45
XRPNW last sale, October 16 $4.16
XRPN close, October 21 $15.75

XRPN closed October 21 at $15.75, up $0.90, or 6.06%, from $14.85, after trading between $14.60 and $15.91 on volume of 862,700 shares. At that close the warrants were $4.25 in the money. The company also may redeem the public warrants for $0.01 each if the Class A share price equals or exceeds $18.00, a call that was still $2.25 away after Wednesday.

Private warrants sat in the original SPAC stack too. The sponsor and underwriters bought 355,000 of them at the same $11.50 strike, and Arrington forfeited 115,347 of those for no consideration at close, leaving 239,653. Add those to the 11,499,992 public warrants and the prospectus’s 11,739,645 total warrant shares line up. This registration covers the public slice.

Warrants Add Shares Before They Add XRP

Evernorth’s own scoreboard is XRP per share. The prospectus calls that the primary key performance indicator and says the firm intends to keep a concentrated XRP position. New Class A shares hit the denominator the day a warrant is exercised. Any matching XRP has to be bought later, if it is bought at all.

Class A stock outstanding was 23,638,882 as of October 9, the prospectus says. If all 11,499,992 public warrants were exercised, that class would rise to 35,138,874 shares, and the new stock would be 32.7% of the post-exercise Class A count. Cash would land at $11.50 a share. Whether that cash becomes tokens depends on a second decision.

The same offering table lists a much larger fully diluted pile sitting behind the public warrants.

THE OVERHANG IN THE PROSPECTUS

  • All warrants: Up to 11,739,645 Class A shares issuable on exercise of Pubco warrants.
  • Convertible notes: 3,585,278 Class A shares issuable on conversion, assuming maximum payment-in-kind interest.
  • Company units: 22,953,128 Class A shares issuable on redemption or exchange of units held by others.
  • Class C stock: 31,392,746 Class A shares issuable on conversion of outstanding Class C shares.

That stack is why a rising token balance can still leave each XRPN share with a smaller claim. The company says it expects to raise capital and buy XRP when the stock trades at a premium to the net asset value of its XRP. The warrant strike is $11.50, not a premium to NAV, and the prospectus does not publish a live NAV figure next to that plan.

Most SPAC Holders Cashed Out Before the Listing

The public float that those warrants now sit against was already thinned. In the Armada vote tied to the merger, holders of 18,463,753 Class A ordinary shares, about 80.3% of the shares with redemption rights, took cash at about $10.58 a share. The 8-K puts the aggregate at about $195.39 million.

XRP itself had already moved against the deal’s original math. The 8-K sets the signing reference at $2.36609 and the closing reference at $1.43069, a 39.5% decline that cut the share counts issued to investors whose in-kind contributions were scaled by that ratio.

THE TEN DAYS THAT BUILT THE PIPE

  1. October 9, 2026: The merger closes. Evernorth reports approximately 473 million XRP at closing and about $300 million in gross cash before expenses.
  2. October 12, 2026: XRPN and XRPNW begin trading on the Nasdaq Global Market. XRPN prints a high of $19.39 and closes at $16.91.
  3. October 14, 2026: The company names treasury partners and rings the Nasdaq closing bell.
  4. October 19, 2026: The SEC notice of effectiveness and the 424(b)(3) prospectus covering 11,499,992 warrant shares are posted.

The $300 million gross cash figure is the company’s own close-day total, before expenses, and it already reflects the $195.39 million that left with redeeming SPAC holders. The warrant path is a later, separate faucet. It fills only if XRPN stays high enough that paying $11.50 still makes sense.

Who Owns XRPN After the Merger

Most of the 473 million XRP did not come from a single open-market sweep. It was contributed in kind by the same circle that sponsored and backed the listing, then topped up with cash subscriptions.

XRP CONTRIBUTED AT THE CLOSE

Contributor XRP Securities received
Arrington XRP Capital Fund 211,319,096 926,878 Class A and 29,306,333 Class C
Ripple 126,791,458 18,139,927 Company Units
Larsen Lam Children’s Remainder Trust 50,000,000 623,509 Class A and 6,529,941 Company Units

Advance-funding subscribers added about $214.05 million in cash and 600,000 XRP, receiving 10,123,015 Class A shares and 2,905,659 Class C shares. The 8-K also records $10.5 million in cash and 200,000 XRP from delayed-funding subscribers. Ripple’s contribution was structured so Ripple and its affiliates would not hold combined voting power above 9.9%.

SBI Holdings USA, Inc. filed as a 10% owner, reporting 6,529,787 Class A shares and 1,633,180 Class C shares as of October 9, with conversion limited so the SBI group stays at or under 39.9%. Arrington XRP Capital Fund, the SPAC sponsor, reported 4,704,137 Class A shares, 19.9% of that class. Other backers named in the close-day release include Pantera Capital, Kraken and GSR.

Those holders already supplied the treasury. Warrant cash, if it arrives, is how a public market can add to it without another in-kind round from the same names.

The Treasury Starts Work in the Fourth Quarter

On October 14 Evernorth named Ripple, Kraken, Coinbase and BitGo as its inaugural institutional execution partners. It said it would both accumulate and deploy from the 473 million XRP starting in the fourth quarter of 2026, in a phased program overseen by chief investment officer Hugo Jeandesboz, a former co-chief investment officer at Coinbase Asset Management, named on September 28.

We’re putting our treasury to work. We are beginning with some of the strongest institutional counterparties in the industry, and as the XRP Ledger’s own credit markets come online, we intend to be there with capital on day one. That is how we grow XRP per share over time, and that is how we help the ecosystem grow with us.

Asheesh Birla, founder and CEO, Evernorth press release

Jeandesboz said a treasury has to be managed, not only held, and that the first counterparties were chosen to a public-company board standard. The company said partnership agreements remain subject to closing conditions and required approvals. First-phase work is meant to run through those firms; later phases are meant to move onto the XRP Ledger if native lending is activated by validators and proven in production.

THE FIRST FOUR COUNTERPARTIES

  • Ripple: Contributor of 126,791,458 XRP and a named execution partner for the fourth-quarter program.
  • Kraken: Listed among close-day investors and among the inaugural partners.
  • Coinbase: Named as an execution venue; Jeandesboz joined from Coinbase Asset Management.
  • BitGo: Named for institutional custody and execution support.

None of that program is funded by the October 19 warrant notice. The 473 million XRP is already on the books. The warrant cash is extra, and only if it is paid in.

XRPN Closed Wednesday Still Above Strike

XRPN’s tape in early October was a SPAC leftover as much as a treasury debut. The shares, still trading as the blank-check vehicle, hit a 52-week high of $53.00 on October 2, then slid through the close and the first Nasdaq sessions. October 12, the first day as XRPN, still saw a $19.39 high before a $16.91 close. By October 21 the stock had settled at $15.75, above the $11.50 strike and short of the $18.00 warrant call.

XRP closed October 21 at $1.3838, per MarketWatch, well below the $2.36609 signing reference used in the merger. The token does not have to rally for warrant holders to exercise. They need XRPN to stay above $11.50 by enough to cover the check. At $15.75 that spread is $4.25 a share.

The second-order result of the October 19 notice is a standing bid for cash from public warrant holders, convertible into whatever mix of working capital and XRP management later picks. Until those holders pay $11.50, the $132.2 million is a ceiling on a form, not a balance-sheet line.
